Migration into the UK

Our services will include:

  • Preparing the relevant documentation so that the company adopts new articles of association which conform to UK company law;

  • Preparing solvency statements to be signed by each director and proposed director of the company;

  • Arranging for a legal opinion from a law firm in the other jurisdiction confirming that the company may migrate, all necessary authorisations have been granted, and that the company will cease to be incorporated in the other jurisdiction upon its continuation in the UK;

  • Providing evidence that creditors will not be unfairly prejudiced (this may be confirmed by a director of the company).

Migration out from the UK

Our services will include:

  • Preparing board and shareholder resolutions to approve the migration;

  • Making an application to the UK Registrar of Companies to approve the migration;

  • Arranging for creditor and other necessary notices in accordance with UK statutory timescales;

  • Providing a legal opinion to the other jurisdiction confirming that the company may migrate, all necessary authorisations have been granted, and that the company will cease to be incorporated in the UK upon its continuation into the other jurisdiction.

Fees

We deliberately keep our fees for migrating companies in and out of the UK lower than the market rate.
